**Article 1.Scope of the General Terms and Conditions **

These General Terms and Conditions (hereinafter: Terms) govern the business and contractual relationship between SUPER A&A CONSULTING d.o.o., Trnsko 47A, Zagreb, represented by Director Andreja Hlupić as the service provider (hereinafter: SUPER A&A CONSULTING), and the service client (hereinafter: the Client) in the field of business consulting and the provision of related services.

These Terms are accepted by all users of SUPER A&A CONSULTING’s services. SUPER A&A CONSULTING reserves the right to modify, delete, or supplement these Terms without prior notice. The changes take effect upon being made available at the business premises of SUPER A&A CONSULTING. The Terms apply independently as well as in combination with specific contracts signed with the Client.

These Terms apply to all subsequent contract amendments, additions, and annexes. In case of discrepancies between these Terms and any specific conditions or agreements, the specific agreements shall prevail. These Terms take precedence over dispositive legal provisions governing contractual relations.

The General Terms, along with their attachments, amendments, and supplements, form an integral part of any service contract between SUPER A&A CONSULTING and the Client.

**Article 2.Services Provided by SUPER A&A CONSULTING d.o.o. **

SUPER A&A CONSULTING provides business consulting services to companies, tradesmen, individuals, and other entities in accordance with applicable laws and regulations.

Services provided include:

  • Individual coaching

  • Group coaching

  • Leadership workshops (leadership program, business etiquette, and image consulting)

  • Team and organizational workshops:

    • Decision Making

    • Diversity & Inclusion

    • Critical & Creative Thinking

    • Teamwork in Hybrid Settings

    • Time Management

    • Change Management

    • Wellbeing

    • Presentation Skills

    • Productive Conflict

    • Storytelling in Sales

  • Customized workshops based on client needs

  • Other consulting services in the field of personal growth and development

SUPER A&A CONSULTING provides services in accordance with applicable legal and regulatory requirements and contractual obligations. Upon request, SUPER A&A CONSULTING will provide detailed and accurate information about its services in a clear and non-misleading manner that is understandable to the average user.

**Article 3.Service Usage Conditions **

Services are available to both natural persons and legal entities.At the time of ordering or contracting services, the Client shall provide all necessary data for contract formation and invoice issuance.

The Client agrees that SUPER A&A CONSULTING may subcontract the agreed services to third-party contractors.

By placing an order, the Client agrees to respect intellectual property rights.

**Article 4.Service Contracting **

SUPER A&A CONSULTING will provide an offer for each service. Orders and acceptance of offers shall be valid if made in writing, orally, or in any other verifiable form.

If a service contract is signed, the rights and obligations between SUPER A&A CONSULTING and the Client shall commence upon signature.

If the Client cancels an order after services have already been rendered, the Client must compensate for the incurred costs.

SUPER A&A CONSULTING shall issue an invoice for completed services. Invoices are generated electronically and issued upon service delivery, or at the end of the month for ongoing services.

Contracts for business consulting services are concluded for a maximum of one year. After this period, a new contract may be signed with updated services and pricing.

SUPER A&A CONSULTING must provide the Client with these General Terms upon contract signing, which the Client confirms by signing the contract.

**Article 5.Refusal to Provide Services **

SUPER A&A CONSULTING may refuse to deliver a service in the following cases:

a) If the Client fails to provide required information in a timely manner

b) If the provided information is unusable

**Article 6.Service Location, Delivery Time, Intellectual Property, and Liability **

SUPER A&A CONSULTING determines the service location; services may also be delivered at the Client’s premises, subject to access being granted.

SUPER A&A CONSULTING commits to delivering services within reasonable and/or agreed deadlines, unless delayed by force majeure or other justified reasons.

Partial service delivery is permitted unless expressly excluded by written agreement.

SUPER A&A CONSULTING is not liable for damages caused by the Client’s improper or unlawful use of services.

**Article 7.Pricing **

Service prices depend on the scope of work provided.Prices are communicated to the Client via quotes, price lists, or otherwise and may be subject to change.

If the Client requests a service not previously contracted, such service must be separately agreed upon and invoiced.

**Article 8.Payment Terms **

Invoices are issued after service delivery. For long-term services, invoices are issued at the end of the billing period (end of each month).

Clients must pay invoices by the stated due date. Late payments are subject to statutory interest.

**Article 9.Conduct and Complaints **

By accepting these Terms, the Client acknowledges that SUPER A&A CONSULTING provides services within its technical and operational capabilities.

Complaints regarding invoices must be submitted in writing within the legal timeframe; otherwise, the invoice is considered accepted.

SUPER A&A CONSULTING will inform the Client of any potential issues related to service delivery.

If delays occur due to the Client’s actions, the Client remains liable for all agreed service costs.

SUPER A&A CONSULTING is not liable for service quality reduction due to unforeseeable or uncontrollable events (force majeure) or the Client’s behavior.

Clients may request rework if service quality is found to be below legal or agreed standards.

In case of justified complaints, SUPER A&A CONSULTING will remedy deficiencies at its own expense and notify the Client.

If a complaint concerns only part of the service, the Client must pay for the undisputed portion.

**Article 10.Confidentiality **

SUPER A&A CONSULTING shall treat all information about the Client, as well as all service-related reports and personal/sensitive data, as confidential.

Disclosure to third parties is permitted only with the Client’s written consent.

The Client agrees to the use and processing of their personal data by SUPER A&A CONSULTING employees, in accordance with the Croatian GDPR Implementation Act (NN 42/2018) and EU Regulation 2016/679.

**Article 11.Temporary Suspension of Service **

SUPER A&A CONSULTING reserves the right to temporarily suspend services if payment issues are identified during the contract.

If payment is not made within 15 days after suspension, SUPER A&A CONSULTING may terminate the contract.

**Article 12.Dispute Resolution **

Any disputes shall first be resolved amicably.If that is not possible, the competent court in Zagreb shall have jurisdiction.

**Article 13.Final Provisions **

These Terms will be available at SUPER A&A CONSULTING’s business premises and provided in writing to each Client.

The Terms are an integral part of all contracts.

These General Terms and Conditions take effect on 2 July 2025.
